These Affiliate & Advertiser Referral Partner Terms & Conditions (“Terms”) govern participation in the Socialiya Affiliate & Advertiser Referral Partner Program (“Partner Program”) operated by Socialiya (“Socialiya”, “we”, “us”, or “our”).
By registering as a Partner, obtaining a Partner Code, referring an advertiser, or participating in the Partner Program, you (“Partner”, “you”, or “your”) agree to these Terms. If you do not agree with these Terms, you must not participate in the Partner Program.
The Socialiya Partner Program allows approved Partners to introduce new advertisers to Socialiya. The Partner receives a unique Partner Code and may share that code with businesses, brands, agencies, service providers, or other potential advertisers. When an eligible new advertiser registers with Socialiya using the Partner Code and subsequently makes eligible advertising payments, the Partner may earn Commission according to these Terms. Participation in the Partner Program does not guarantee any minimum number of referrals, advertisers, advertising spend, or income.

After approval, Socialiya may issue a unique Partner Code to the Partner. The Partner Code:
A Partner may refer an advertiser by providing the Socialiya advertiser registration link, the Partner Code, or another referral mechanism approved by Socialiya. The advertiser must register its own account and provide accurate information. The Partner must not create or control an advertiser account solely for the purpose of generating Commission unless Socialiya has expressly authorized the arrangement.
The advertiser may enter the Partner Code during advertiser registration. Socialiya's advertiser registration process may include an optional Partner Code field for this purpose. If the Partner Code is successfully recorded and the advertiser satisfies the eligibility requirements, the advertiser may be attributed to that Partner. A Partner should ensure that the advertiser enters the correct Partner Code during registration.
A referral generally qualifies only when all of the following conditions are satisfied:
Existing advertisers generally do not qualify as new referrals. A Partner cannot claim Commission simply by providing a Partner Code to an advertiser that already has a Socialiya account, previously registered, previously purchased advertising services, was already referred by another Partner, was already in Socialiya's sales process, or was otherwise already known or attributed to Socialiya before the referral. Socialiya's records will be used to determine whether an advertiser is new and eligible.
Socialiya will use its internal registration, account, tracking, payment, and referral records to determine attribution. Where a valid Partner Code is recorded against an eligible advertiser, that advertiser may be attributed to the relevant Partner. If multiple Partners claim the same advertiser, Socialiya may determine the valid referral based on its verified records. Socialiya's determination will apply unless there is a demonstrated technical or administrative error.
Once an eligible advertiser has been successfully attributed to a Partner, the advertiser may remain associated with that Partner for future eligible advertising payments, subject to these Terms, applicable Partner Program rules, fraud checks, account status, termination of the Partner or advertiser account, and any changes to the Partner Program. Socialiya may change attribution rules prospectively where reasonably necessary.
The Partner Commission is based on the Referred Advertiser's total Eligible Advertising Spend during each Commission Month.

The applicable rate is determined based on the Referred Advertiser's total Eligible Advertising Spend during the relevant calendar month.
Where a Referred Advertiser's total Eligible Advertising Spend during a Commission Month is less than ₹1,00,000, the applicable Commission rate is 15%.
Example: Eligible Advertising Spend = ₹50,000 → Commission: ₹50,000 × 15% = ₹7,500
Where a Referred Advertiser's total Eligible Advertising Spend during a Commission Month reaches ₹1,00,000 or more, the applicable Commission rate is 20%.
Example: Eligible Advertising Spend = ₹1,20,000 → Commission: ₹1,20,000 × 20% = ₹24,000
The applicable monthly Commission rate applies to the advertiser's total Eligible Advertising Spend for that Commission Month.
Once the advertiser reaches ₹1,00,000 of Eligible Advertising Spend during the relevant Commission Month, the 20% rate applies to the advertiser's total Eligible Advertising Spend for that month, subject to these Terms.
Commission is calculated only on Eligible Advertising Spend. The following are generally excluded: GST; other applicable taxes; payment gateway charges where applicable; refunded amounts; chargebacks; reversed payments; failed payments; fraudulent transactions; complimentary advertising credits; promotional credits; bonus credits; amounts not actually received by Socialiya; amounts subsequently refunded to the advertiser; amounts otherwise classified as non-commissionable by Socialiya.
Commission becomes payable only after the relevant advertiser payment has been successfully received and confirmed by Socialiya. A payment that is pending, failed, reversed, refunded, disputed, or subject to fraud investigation will not be treated as a confirmed eligible payment until Socialiya completes its verification.
Socialiya will calculate Partner Commission using its internal financial, advertising, referral, and payment records. The Partner may view available commission information through the Partner dashboard where such functionality is provided. Socialiya's records will be considered authoritative for Commission calculation, subject to correction of demonstrated errors.
Commission may have different statuses, including: Pending, Under Verification, Approved, Payable, Paid, Reversed, and Rejected. A pending Commission does not constitute a final payment obligation until the relevant transaction has been verified and approved.
After the applicable advertiser payment has been successfully received and confirmed, Socialiya will generally transfer the eligible Partner Commission to the Partner's registered bank account within 15 days. The 15-day period begins after the applicable advertiser payment has been successfully received and confirmed by Socialiya. Payment may be delayed where reasonably necessary because of fraud verification, payment verification, chargeback risk, refund processing, KYC verification, incorrect bank information, bank processing delays, payment system failures, legal or regulatory requirements, tax compliance, or a dispute concerning referral attribution.
Partner Commission will be transferred to the Partner's registered bank account or another approved payment method specified by Socialiya. The Partner is responsible for providing correct account holder name, account number, IFSC, bank details, required KYC information, and required tax information. Socialiya is not responsible for delays or failed transfers caused by incorrect or incomplete information provided by the Partner.
If a bank transfer fails because of incorrect or incomplete Partner information, Socialiya may hold the payment until the Partner provides corrected information. Socialiya may charge reasonable bank/payment processing costs where permitted and where such costs arise directly from incorrect information supplied by the Partner.
Socialiya may introduce a minimum payout threshold. If a minimum threshold is applicable, Commission below that threshold may be carried forward to a future payment cycle. The applicable threshold will be displayed in the Partner dashboard or communicated by Socialiya.
Partner payments may be subject to applicable Indian tax laws, including TDS or other statutory deductions where applicable. Where required by law, Socialiya may deduct or withhold applicable taxes before making the Partner payment. The Partner is responsible for their own tax compliance and reporting obligations. Where applicable, the Partner must provide PAN, GST details, invoices, or other documentation reasonably required by Socialiya.
If an advertiser payment associated with a Commission is subsequently refunded, reversed, charged back, cancelled, determined to be fraudulent, or otherwise determined to be invalid, Socialiya may cancel the associated unpaid Commission. If the Commission has already been paid, Socialiya may offset or recover the corresponding amount from future Partner Commission, to the extent permitted by applicable law.
The Partner must not attempt to generate Commission through fraudulent or artificial activity. Prohibited activities include fake advertiser accounts, duplicate accounts, self-referrals, fake registrations, automated registrations, bots, click farms, artificial traffic, fraudulent payments, payment manipulation, referral manipulation, misuse of Partner Codes, creating accounts solely to generate Commission, misrepresenting Socialiya, spam, phishing, malware, forced redirects, fake offers, misleading advertising, and any activity intended to artificially increase Commission.
A Partner may not refer themselves or an advertiser account controlled by them primarily for the purpose of earning Commission unless Socialiya has expressly approved the arrangement. Socialiya may reject or reverse Commission associated with suspected self-referrals.
Socialiya does not guarantee a minimum number of advertisers, a minimum advertising spend, a minimum Commission, a minimum monthly income, or any particular return from referrals. Partner earnings depend on successful eligible referrals and qualifying advertiser payments.
Partners may promote Socialiya using truthful information. Partners must not make false, misleading, exaggerated, or unauthorized claims about Socialiya, advertising results, customer acquisition, sales, impressions, advertising performance, pricing, discounts, Partner earnings, or Commission rates. Partners must clearly disclose the commercial nature of their relationship where required by applicable advertising rules and law.
The Partner may use Socialiya's name, logo, promotional material, or other branding only in accordance with Socialiya's applicable brand guidelines or authorization. The Partner must not register a confusingly similar domain, create an account pretending to be Socialiya, claim to be a Socialiya employee or official representative without authorization, modify Socialiya branding deceptively, or use Socialiya branding for unlawful purposes.
Partners must not purchase search, social-media, display, or other paid advertising using Socialiya's trademarks, brand terms, or restricted keywords where such activity is prohibited by Socialiya's advertising policies. Socialiya may establish additional paid-marketing rules for Partners.
The Partner acts as an independent referral partner. Participation does not create employment, agency, franchise, joint venture, partnership under applicable law, fiduciary relationship, or any authority to legally bind Socialiya. The Partner cannot enter into contracts or commitments on behalf of Socialiya unless expressly authorized in writing.
Partners must not collect advertising payments from advertisers on behalf of Socialiya unless expressly authorized by Socialiya. Advertisers should make payments through Socialiya's approved payment methods.
Referred advertisers remain subject to Socialiya's applicable Advertiser Terms & Conditions, advertising policies, content policies, payment policies, refund policies, privacy policies, and other applicable platform rules. The Partner cannot modify or waive Socialiya's advertiser terms.
The Partner must handle personal information responsibly and only for legitimate referral and marketing purposes. The Partner must not sell personal information, share personal information without authorization, collect unnecessary personal information, use personal information for unrelated purposes, or misuse advertiser contact information. The Partner must comply with applicable privacy and data-protection laws.
Partners must keep confidential information received from Socialiya confidential, including non-public commission rates, internal reports, advertiser information, financial information, tracking information, technical information, business strategies, and non-public promotional information. This obligation continues after termination where applicable.
The Partner is responsible for protecting their Socialiya Partner account credentials and must immediately notify Socialiya if they suspect unauthorized account access, password compromise, Partner Code misuse, unauthorized changes to bank information, or other security issues.
If a Partner believes that an eligible referral or Commission has been incorrectly recorded, the Partner may contact Socialiya support and provide Partner Code, advertiser details, registration information, payment information, campaign information, and relevant transaction details. Socialiya may investigate using its internal records.
Where two or more Partners claim the same advertiser, Socialiya may determine attribution using Partner Code records, registration records, referral tracking, timestamp information, advertiser account information, and other relevant technical records. Socialiya's verified system records will generally determine the applicable attribution unless a clear technical error is established.
Socialiya may temporarily suspend a Partner account or Commission payment where reasonably necessary to investigate fraud, suspicious activity, payment issues, referral disputes, KYC issues, tax compliance, security concerns, or policy violations. During suspension, affected Commission may remain on hold until the investigation is completed.
Socialiya may terminate a Partner account where permitted by applicable law if the Partner violates these Terms, engages in fraudulent activity, misuses the Partner Code, provides false information, misrepresents Socialiya, attempts to manipulate Commission, engages in unlawful activity, violates advertising requirements, or creates a material security or financial risk. The Partner may also request termination of their Partner account.
Termination does not automatically cancel legitimate Commission already earned before termination. However, Commission associated with fraud, invalid transactions, refunded payments, chargebacks, reversed payments, policy violations, or other ineligible transactions may be withheld, cancelled, or recovered in accordance with these Terms and applicable law.
Socialiya may modify commission rates, eligibility requirements, attribution rules, payout procedures, minimum payout thresholds, Partner requirements, program features, and other Partner Program rules. Changes will generally apply prospectively from the effective date communicated by Socialiya, unless otherwise required by law.
Socialiya may suspend or discontinue the Partner Program where reasonably necessary. If the Partner Program is discontinued, Socialiya will handle valid outstanding Commission according to the applicable Terms and law.
To the maximum extent permitted by applicable law, Socialiya will not be liable for indirect, incidental, special, consequential, or business losses arising from participation in the Partner Program. Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.
To the extent permitted by law, the Partner agrees to indemnify and hold Socialiya harmless against claims, losses, liabilities, costs, or expenses arising from the Partner's violation of these Terms, fraudulent activity, misleading marketing, unauthorized representations, illegal activity, misuse of Socialiya branding, violation of third-party rights, or misuse of personal information.
The Partner may not transfer, assign, sell, or otherwise transfer their Partner account or Partner Code to another person without Socialiya's prior written approval.
Socialiya will not be responsible for delays caused by circumstances beyond its reasonable control, including bank failures, payment gateway failures, internet or telecommunications failures, cybersecurity incidents, government actions, natural disasters, infrastructure failures, war or civil disturbance, or other events beyond reasonable control.
These Terms shall be governed by and interpreted in accordance with the laws of India. Any dispute shall be subject to the dispute-resolution process and jurisdiction specified in Socialiya's applicable legal terms.
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms, together with applicable Socialiya Partner Program rules, advertiser terms, privacy policies, campaign-specific terms, and other policies referenced by Socialiya, constitute the applicable agreement governing participation in the Partner Program.
