These Vendor Product Listing, Direct Payment, Delivery & Commission Terms & Conditions ("Terms") govern the registration and use of the Socialiya platform by vendors ("Vendor", "you", or "your").

By registering as a Vendor, listing products, accepting customers, or using Socialiya's vendor services, you agree to these Terms.

1. About Socialiya

Socialiya provides an online platform that allows businesses and vendors to create listings, showcase products and services, promote their offerings, and connect with potential customers. Unless specifically stated otherwise, Socialiya is a platform/intermediary and not the seller, manufacturer, distributor, or owner of products listed by Vendors. The Vendor remains responsible for the products, services, prices, customer transactions, payment collection, delivery, returns, refunds, warranties, and applicable legal requirements.

2. Vendor Registration

The Vendor must provide accurate and complete information during registration, including where applicable. The Vendor must keep its information accurate and updated. Socialiya may request documents or information to verify a Vendor or listing.

3. Product Listing

The Vendor is responsible for all information included in its product listing. Product listings must accurately describe product name, specifications, price, images, quantity/availability, variants, delivery information, return/replacement terms (where applicable), and warranty information (where applicable). The Vendor must not publish false, misleading, deceptive, or incomplete information and must ensure that listed products are genuine and legally permitted for sale.

4. Product Pricing

The Vendor determines the selling price of its products unless otherwise agreed. The Vendor must clearly communicate the applicable product price to customers, must not misrepresent the original price, discount, offer, or promotional price, and must disclose applicable taxes, shipping charges, service charges, or other customer charges as required by applicable law.

5. Direct Customer Payment

5.1 Payment Directly to Vendor

Customers will make payment directly to the Vendor using the payment method provided or accepted by the Vendor. Socialiya does not, unless separately agreed in writing: collect customer payments on behalf of Vendors; hold customer funds; process customer payments; guarantee customer payments; act as a payment settlement agent; guarantee refunds; or guarantee chargeback protection.

5.2 Socialiya Not Responsible for Customer Payments

Socialiya is not responsible for customer non-payment, payment delays, payment gateway failures used by the Vendor, bank-related issues, payment disputes, chargebacks, fraudulent payments, refund disputes, incorrect payment information, or any financial dispute between the Vendor and customer. The Vendor and customer are responsible for resolving payment-related matters between themselves.

5.3 Vendor Payment Responsibility

The Vendor is solely responsible for confirming that payment has been successfully received before dispatching an order where advance payment is required. The Vendor must not falsely claim that Socialiya has received or guaranteed a customer's payment.

6. Product Order & Customer Relationship

The Vendor is responsible for communicating with customers regarding order confirmation, product availability, product price, payment confirmation, delivery date, delivery charges, product specifications, returns and replacements, refunds, warranty, and after-sales support. Socialiya may provide communication or platform features to facilitate contact between Vendors and customers but does not become a party to the underlying sale unless expressly stated.

7. Product Delivery

The Vendor is solely responsible for delivering products to customers and must dispatch products within the promised timeframe, use appropriate packaging, deliver the correct product and quantity, provide tracking information where available, take reasonable steps to prevent damage during delivery, inform customers of significant delivery delays, and comply with applicable transportation and delivery requirements. Socialiya does not guarantee delivery time, successful delivery, or the condition of products delivered by Vendors.

8. Shipping & Delivery Charges

Unless otherwise agreed, the Vendor is responsible for determining and communicating applicable shipping or delivery charges. The Vendor must not impose undisclosed charges on customers. If free delivery is advertised, the Vendor must honor the stated offer subject to the applicable conditions.

9. Returns, Refunds & Replacements

The Vendor is responsible for its applicable return, refund, cancellation, replacement, warranty, and after-sales policies. Where a refund or replacement is legally required or promised by the Vendor, the Vendor must process it directly with the customer. Socialiya does not guarantee refunds or replacements for Vendor transactions. Socialiya may assist with communication or complaints but does not assume the Vendor's financial obligations.

10. Product Quality

The Vendor is solely responsible for product quality, safety, authenticity, manufacturing defects, expiry dates, packaging, product descriptions, regulatory compliance, and warranty obligations. The Vendor must not list counterfeit, stolen, prohibited, unsafe, illegal, or misleading products.

11. Prohibited Products & Activities

Vendors must not use Socialiya to promote or sell products or services that violate applicable laws or Socialiya policies, including where applicable counterfeit products, stolen goods, illegal products, fraudulent products or services, products requiring licenses that the Vendor does not possess, misleading or deceptive offers, unauthorized copyrighted or trademarked products, or products prohibited under applicable law. Socialiya may remove such listings and restrict or terminate the Vendor account.

12. Socialiya Commission

The Vendor agrees to pay Socialiya the applicable commission for eligible sales generated through Socialiya. The applicable commission rate may be a percentage of the eligible sale value, a fixed amount, a promotional rate, or another commercial arrangement agreed between Socialiya and the Vendor. The applicable commission rate will be communicated through the applicable commercial terms, Vendor dashboard, agreement, offer, or other communication.

13. Commission Calculation

Unless otherwise agreed in writing, Socialiya may calculate commission based on the eligible product/order value. The calculation may exclude cancelled orders, refunded orders, returned orders, shipping charges, taxes, or other amounts specifically excluded under the applicable commission arrangement. Socialiya may define eligible sales and commission calculations for different Vendor programs.

14. Payment of Socialiya Commission

Because customer payments are made directly to the Vendor, the Vendor remains responsible for paying Socialiya's applicable commission within the period specified by Socialiya or under the applicable commercial agreement. Socialiya may issue invoices, statements, payment requests, or other records relating to commission. If commission remains unpaid, Socialiya may suspend product listings, restrict Vendor account features, stop promotional services, withhold applicable platform benefits, suspend the Vendor account, or terminate the Vendor relationship.

15. Sales Reporting & Verification

The Vendor must provide accurate information relating to transactions generated through Socialiya when reasonably requested. Socialiya may use available platform information, Vendor-provided information, customer reports, order information, or other reasonable evidence to determine commission payable. The Vendor must not intentionally hide, misreport, cancel, redirect, or manipulate transactions to avoid Socialiya commission.

16. Commission Avoidance

The Vendor must not attempt to bypass Socialiya's commission by redirecting Socialiya-generated customers outside the applicable commercial arrangement, providing false transaction information, creating fake cancellations, manipulating order values, creating duplicate or fraudulent accounts, using misleading links or contact information, or otherwise attempting to avoid applicable commission. Such activity may result in account suspension, recovery of unpaid commission, or termination.

17. Vendor Responsibilities

  • Respond to customer inquiries
  • Accept or reject orders honestly
  • Fulfill confirmed orders
  • Deliver products as promised
  • Collect customer payments directly
  • Handle refunds and returns
  • Provide invoices where legally required
  • Maintain applicable licenses and registrations
  • Follow applicable laws and regulations
  • Pay Socialiya's applicable commission
  • Cooperate with reasonable platform verification

18. Customer Complaints

Customers may contact Socialiya regarding Vendor listings or transactions. Socialiya may forward complaints to the Vendor and request an appropriate response. The Vendor must reasonably cooperate in resolving complaints relating to its products or services. Socialiya may take platform-level action where complaints indicate violations of these Terms or applicable policies.

19. Socialiya's Role in Disputes

Socialiya may, at its discretion, facilitate communication between the Vendor and customer. However, Socialiya is not responsible for resolving or financially compensating either party for disputes relating to product quality, product defects, payment, delivery, refunds, returns, warranty, pricing, customer dissatisfaction, or Vendor services. Nothing in this section limits any rights or obligations that cannot legally be excluded under applicable law.

20. Vendor Content

The Vendor grants Socialiya a non-exclusive right to display and use Vendor-provided business name, product information, product photographs, logos, descriptions, and promotional material for operating, displaying, marketing, and promoting the Vendor's listing on Socialiya. The Vendor confirms that it has the necessary rights and permissions to provide such content.

21. Intellectual Property

The Vendor must not upload content that infringes another person's copyright, trademark, patent, design, privacy, or other legal rights. If Socialiya receives a valid complaint concerning intellectual-property infringement, Socialiya may remove or restrict the relevant content.

22. Account Security

The Vendor is responsible for maintaining the confidentiality of its account credentials, must immediately notify Socialiya if it believes that its account has been accessed without authorization, and is responsible for activity conducted through its account to the extent permitted by applicable law.

23. Fraud Prevention

Socialiya may monitor platform activity for suspected fraud, abuse, manipulation, or violations of these Terms and may temporarily restrict an account, remove listings, request verification, investigate transactions, suspend promotional features, or terminate access where reasonably necessary.

24. Taxes & Legal Compliance

The Vendor is solely responsible for complying with applicable tax and business laws relating to its products and transactions, which may include GST, income tax, TDS/TCS obligations, business registrations, product-specific licenses, consumer protection requirements, invoicing requirements, and product labeling requirements. Socialiya does not provide tax or legal advice to Vendors.

25. Vendor Indemnification

To the extent permitted by applicable law, the Vendor agrees to protect and indemnify Socialiya, its owners, employees, representatives, and affiliates against claims, losses, liabilities, costs, or expenses arising from Vendor products, Vendor services, product defects, Vendor negligence or misconduct, customer transactions, payment disputes, delivery failures, refund or return obligations, violation of law, intellectual-property infringement, false or misleading information, or violation of these Terms.

26. Limitation of Socialiya's Liability

To the maximum extent permitted by applicable law, Socialiya will not be responsible for indirect, incidental, special, consequential, or business losses arising from Vendor-customer transactions. Socialiya does not guarantee a minimum number of customers, sales, customer payments, product sales, delivery performance, customer behavior, or Vendor revenue. Nothing in these Terms excludes liability that cannot legally be excluded.

27. Listing Removal

Socialiya may remove, hide, edit, restrict, or suspend a product listing if it violates these Terms, violates applicable law, contains misleading information, receives repeated complaints, appears fraudulent, contains prohibited products, or creates a risk to customers or Socialiya.

28. Vendor Account Suspension or Termination

Socialiya may suspend or terminate a Vendor account where the Vendor violates these Terms, fails to pay applicable commission, engages in fraudulent activity, repeatedly fails to fulfill orders, provides false information, lists prohibited products, attempts to avoid commission, misuses Socialiya, violates applicable laws, or creates significant risk to customers or the platform. The Vendor may request account termination by contacting Socialiya. Outstanding obligations that arose before termination may continue to apply.

29. Changes to Terms

Socialiya may update these Terms from time to time. Updated Terms may be published on the Socialiya platform or communicated to Vendors through reasonable means. Continued use of Socialiya after the effective date of updated Terms may constitute acceptance of the updated Terms, subject to applicable law.

30. Privacy

Vendor and customer information may be processed in accordance with Socialiya's applicable Privacy Policy. Vendors must use customer information only for legitimate purposes connected with the applicable transaction and must comply with applicable privacy and data-protection requirements. Vendors must not misuse, sell, share, or unlawfully contact customers using information obtained through Socialiya.

31. No Guaranteed Sales

Socialiya does not guarantee that listing a product will result in sales, leads, customers, or revenue. Vendor performance depends on factors including product demand, pricing, availability, customer interest, competition, and other market conditions.

32. Relationship Between Socialiya and Vendor

The Vendor is an independent business and is not an employee, agent, franchisee, partner, or legal representative of Socialiya unless expressly agreed in writing. The Vendor does not have authority to make commitments on behalf of Socialiya.

33. Governing Law

These Terms shall be governed by the laws applicable in India, subject to applicable statutory rights and regulations. Any dispute relating to these Terms shall be subject to the jurisdiction of the competent courts as determined under applicable law.

34. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

35. Entire Agreement

These Terms, together with any applicable Socialiya policies, commercial terms, commission schedule, and specific Vendor agreement, constitute the understanding between Socialiya and the Vendor regarding use of the applicable Vendor platform services. Where there is a conflict, the specific written commercial agreement may prevail to the extent expressly stated.

36. Vendor Acceptance

By registering on Socialiya, creating a Vendor account, listing products, accepting customers, or continuing to use Socialiya's Vendor services, the Vendor confirms that:

  • I have read and understood these Terms & Conditions.
  • I understand that customers pay me directly.
  • I understand that Socialiya does not collect, hold, process, or guarantee customer payments unless separately agreed.
  • I am responsible for product quality, delivery, returns, refunds, customer service, and applicable legal compliance.
  • I agree to pay the applicable Socialiya commission for eligible sales according to the agreed commission terms.
  • I agree not to manipulate or avoid Socialiya commission.
  • I agree to comply with Socialiya policies and applicable laws.

Is business listing really free?

Yes. Registering your business, creating a shop page, and listing products on Socialiya is free. You only pay if you choose optional paid advertising or other paid services. Order commission terms apply as per the Vendor Terms & Conditions.

How do I get started as a vendor?

After creating your business account, verify your email and log in to the dashboard. Set up your shop, add products, and optionally run ads. You can manage orders, wallet, and reports from one place.

What ad formats are available?

Socialiya supports banner and other display ad formats. You can upload creatives, set targeting, and choose placement. Check the dashboard or contact support for the full list of formats and sizes.

Who can see my ads?

Your ads are shown to visitors on Socialiya—cricket and sports fans reading news, checking scores, and using the platform. You can view impressions, clicks, and other metrics in your reports.

What is the partner code field for?

If you were referred by a Socialiya partner, enter their partner code when signing up. It’s optional. Partners earn commission when referred businesses use the platform; it doesn’t change your rates or account.
